These Terms of Service ("Terms") govern your use of RailsDocks, a service operated by Oak Harbor Ventures, LLC ("RailsDocks," "we," "us," or "our"). By creating an account, purchasing a subscription, or using RailsDocks, you agree to these Terms.

1. The RailsDocks Service

RailsDocks provides hosting and related infrastructure services for Ruby on Rails applications. Features, resource limits, and services available to you depend on the plan you select.

We may modify, improve, replace, or discontinue individual features of the service from time to time. We will make reasonable efforts to avoid materially disrupting active customer services.

2. Your Account

You must provide accurate information when creating and maintaining your RailsDocks account. You are responsible for keeping your account credentials secure and for all activity performed through your account.

You must promptly notify us if you believe your account has been compromised or used without authorization.

3. Subscriptions and Billing

RailsDocks is offered on a subscription basis. By starting a paid subscription, you authorize us and our payment processor to charge your selected payment method for the applicable subscription fees and any applicable taxes.

Subscriptions automatically renew at the end of each billing period unless canceled before the next renewal date.

If RailsDocks offers a free trial or promotional period, the terms presented when you begin that offer will apply. Unless otherwise stated, your subscription will convert to a paid subscription when the trial or promotional period ends.

We may change subscription pricing in the future. Any price change will apply prospectively and will not alter charges that have already been incurred.

4. Cancellation

You may cancel your RailsDocks subscription through the billing controls available in your account. Cancellation prevents future renewals but does not ordinarily terminate service immediately. Your service may remain available through the end of your current billing period.

Refund eligibility is governed by our Refund Policy.

5. Acceptable Use

You may use RailsDocks only for lawful purposes. You may not use the service to:

• Violate any applicable law or regulation.
• Host or distribute malware, ransomware, viruses, or other malicious software.
• Conduct phishing, credential theft, fraud, or deceptive activities.
• Send unsolicited bulk communications or spam.
• Attack, probe, scan, or disrupt systems or networks without authorization.
• Participate in denial-of-service attacks or similar abusive activity.
• Access or attempt to access accounts, systems, or data without authorization.
• Infringe the intellectual property or other legal rights of another person or organization.
• Use resources in a manner that intentionally interferes with service provided to other customers.
• Attempt to bypass service limits, security controls, billing systems, or usage restrictions.

We may investigate suspected abuse and may suspend or terminate services when reasonably necessary to protect RailsDocks, our infrastructure, other customers, or third parties.

6. Your Applications and Content

You retain ownership of the applications, source code, databases, content, and other materials you deploy through RailsDocks.

You are solely responsible for your applications and content, including their legality, security, configuration, licensing, and compliance with applicable laws.

You grant RailsDocks the limited rights necessary to store, process, transmit, copy, and otherwise handle your applications and data solely for the purpose of providing and operating the service.

7. Backups and Customer Data

You are responsible for maintaining appropriate copies and backups of data that is important to you unless a specific RailsDocks service or plan expressly states that backups are included.

No hosting system can guarantee against every possible loss of data. You should not treat RailsDocks as the sole copy of irreplaceable information.

8. Service Availability

We work to keep RailsDocks reliable and available, but we do not guarantee uninterrupted or error-free operation unless a separate written service-level agreement expressly provides otherwise.

Service may occasionally be unavailable because of maintenance, software or hardware failures, network problems, security incidents, third-party service interruptions, events beyond our reasonable control, or other operational circumstances.

9. Third-Party Services

RailsDocks depends on third-party infrastructure, networks, payment processors, software, and other service providers. Availability or failure of those third-party services may affect RailsDocks.

Your use of third-party products or services may also be governed by terms imposed by those providers.

10. Suspension and Termination

We may suspend or terminate an account or hosted application if:

• Payment is overdue or cannot be collected.
• The account violates these Terms.
• The service is being used unlawfully or abusively.
• The account creates a material security or operational risk.
• Suspension is reasonably necessary to protect RailsDocks or another party.

When circumstances permit, we will make reasonable efforts to notify you before suspension or termination and provide an opportunity to correct the problem.

Following termination, we may delete applications, databases, files, credentials, and other customer data associated with the terminated account. You are responsible for exporting any data you wish to retain before your service ends.

11. RailsDocks Intellectual Property

RailsDocks, its website, software, branding, documentation, and other materials provided by us are owned by Oak Harbor Ventures, LLC or its licensors and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of RailsDocks intellectual property to you.

12. Disclaimer of Warranties

To the maximum extent permitted by law, RailsDocks is provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the service will always be available, completely secure, error-free, or suitable for every particular application or workload.

13. Limitation of Liability

To the maximum extent permitted by law, Oak Harbor Ventures, LLC and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, or data, arising from or related to your use of RailsDocks.

To the maximum extent permitted by law, our aggregate liability arising from or relating to RailsDocks will not exceed the amount you paid to RailsDocks during the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Oak Harbor Ventures, LLC and its owners, employees, contractors, and affiliates from claims, damages, liabilities, losses, and reasonable expenses arising from your applications, your content, your violation of these Terms, or your violation of another party's rights.

15. Privacy

Our collection and use of personal information is described in our Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date shown above and, when appropriate, provide additional notice.

Your continued use of RailsDocks after updated Terms become effective constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
